Personal and corporate authority must be tested separately
If the founder is unavailable, who can run the BV tomorrow?
A spouse may be able to pay personal bills under a mandate and still lack authority to instruct the company. Technical access to the bank is not a substitute for legal authority either.
Start with the situation
The founder is in hospital. The family understands the business, but that does not make anyone a director or bank signatory.
Payroll is due and a new contract needs approval. The spouse knows the founder’s wishes, but a personal mandate may not confer corporate management powers.
Shareholder voting, directorship, bank signing and systems access rely on different documents and procedures.
Main questionWho can lawfully make each decision today, who is the substitute and how will the institution verify the role?
One-day matrix
Four actions require four checks.
Consider the first 24 hours.
- 01Payroll
- bank signatory
- 02Contract
- acting director
- 03Shareholder vote
- authorised shareholder
- 04Personal account
- personal authority
Instead of one general substitute, the company receives a matrix of event, action, role, basis, backup and verification procedure.
Technical access is not proof of legal authority.
A personal mandate, bank access, directorship and voting right are not one authority.
The Authority Matrix exposes gaps before the notary, bank and corporate lawyer confirm solutions.
Monday morning reveals where family understanding ends
The owner-director (directeur-grootaandeelhouder, DGA) of a family BV is unexpectedly hospitalised. The team knows whom to call. The spouse can access the household administration. The finance director prepares payments. Yet the bank, trade register and a major counterparty verify a specific authority rather than family trust.
Break the problem into actions: who calls and passes a company resolution, who acts as director, who votes as shareholder, who signs a payment and who communicates with employees and customers. One person may not hold all those roles.
A levenstestament solves a personal problem, not the whole corporate map
A levenstestament contains instructions and mandates for a period in which a person cannot act personally. It may appoint representatives for financial, medical and personal matters. The scope depends on the instrument, while a bank or other institution checks whether it accepts the authority for the requested action.
Even a broad personal mandate should not automatically be treated as a director appointment in the BV. The articles, corporate resolutions, registrations, bank mandates and contracts are checked separately. If different people should perform different roles, that is better discovered before a crisis.
Run the company through 24 hours, 30 days and one year
The first day requires payments, team communication, preservation of information and a lawful point of contact. The first month brings payroll, tax, key contracts and board or shareholder decisions. A longer absence requires a durable management and control model, not temporary use of another person’s login.
The Dutch Chamber of Commerce describes a bedrijfscontinuïteitsplan, or business continuity plan, as the working process for keeping the business operating after an emergency. In a founder-dependent company, that process needs corporate authority as well as operational contacts and systems.
A document is ready only after its use has been tested
‘Signed’ is not a sufficient status. For every critical action, use five stages: document found, meaning understood, authority reviewed by the relevant professional, institutional procedure confirmed and substitute role holder briefed. The test never requires another person’s login.
The output is a short Founder Absence Plan: critical actions, primary and substitute owners, legal basis, external institution, contact and evidence of completion. The notary, corporate lawyer, bank and accountant each validate their part.
Public materials
For independent review
These sources help verify the public background to the question. They do not replace a fact-specific review.
Authority after an event
Access, a job title and legal authority are not the same thing.
Personal, banking and company authority is tested separately for each event, together with a substitute decision-maker.
- 01Event
Absence or incapacity
- 02Basis
Mandate or appointment
- 03Recognition
Bank, company or authority
Conclusion after the explanation
For every critical action, identify the person or body, legal basis, institution that will verify the authority and substitute role holder.
Signals
Review this if you recognise your situation
- only the founder can give the bank its final instruction
- the team knows the substitute but the corporate role is not formalised
- the family treats a personal mandate as sufficient for every BV action
- a critical role has no substitute and no tested activation process
Next actions
What to do next
- 01list critical company actions for the first day and month
- 02record legal basis, verifying institution and substitute for each action
- 03run a desk-top test with the bank and professionals without using another person’s login
Apply it to your situation
