Family Fund & Family Governance

Family fund and family governance

Does the family need pooled capital — or rules without a fund first?

Product06of 09

When this becomes a problem

A family fund may be a tool, but it is not the starting point

The family first decides why capital should remain pooled, who makes decisions and how a participant may leave. Direct ownership, shared rules, a contractual fund and company routes are compared only after those needs are clear.

Shared capital

The legal form follows the family purpose, not the other way around.

First decide why capital remains pooled, who decides and how a participant may leave. Then compare forms.

How a substantive answer is prepared

From the client’s question to a conclusion owned by a professional.

The portal and open material help frame the question. An individual conclusion appears only after a separate review.

  1. 01
    Facts

    We reconstruct the event, countries, people’s roles, assets, documents and assumptions.

  2. 02
    Professional materials

    Only material needed for the particular question is consulted through the protected internal process.

  3. 03
    Current rules

    Key propositions are checked against current law, official guidance and the applicable procedure.

  4. 04
    Professional answer

    A professional formulates the conclusion independently, states its limits and approves it in their own name.

The client receives our explanation and accountable professional conclusion—not access to an internal library or another publisher’s material.

What can go wrong

  • paper-gift interest is unpaid or circularly financed by the child;
  • the donor lacks multi-year liquidity;
  • a private deed is assumed to survive death without execution;
  • property is transferred without a transfer-tax model;

Expected outcome

The work has two stages. Family Capital Decision first tests the lifetime reserve, purpose, assets, people and alternatives to a fund. Only then does Family Fund Implementation & Governance design the selected fund, banking, tax reporting, participation transfers and annual operation.

The intended outcome and the sequence of work are set out below.

  1. Family Capital Decision Report, including a possible no-fund conclusion
  2. asset-suitability and rights-allocation matrix
  3. distribution, tax-liquidity, exit and death scenarios
  4. Family Fund Operating File and annual governance calendar after implementation

What the client prepares

  • which capital is genuinely surplus after the lifetime reserve
  • why capital should remain pooled and which assets stay outside
  • who receives benefit, information, decision rights and authority to execute
  • how tax, distributions, exit, conflict and termination are funded

Titles and dates of existing documents are enough at first. Do not upload passports, statements or confidential files.

What VB Structuren does

  • connects the facts, objectives and constraints in one decision model
  • tests the assumptions, applicable rules and practical workability of the selected route
  • prepares client-specific outputs and coordinates the agreed implementation

VB Structuren’s responsibility attaches to the separately agreed scope and the professional conclusion after review—not to an automated tool result.

Where specialists join

A legal adviser confirms the form and a tax adviser confirms classification under the rules applying since 1 January 2025; the bank confirms the account, custody and compliance path. The notary prepares only instruments that require notarial form. VB connects family decisions with implementation and annual control.
