Transfer route first · two tax reviews second
Business succession: why two separate tax conclusions are required
Dutch relief for an operating business and rollover of substantial-interest taxation answer different questions. A positive conclusion on one does not confirm the other or select the successor.
Start with the situation
The holding company contains operations, investments and property. Its label does not make every asset an operating-business asset.
The group is worth about €18 million. A daughter runs the trading company; two other children do not work in the business. The family wants to transfer control fairly.
Operations, cash, securities, rental property and related debt must be separated before a tax measure is discussed.
Main questionWhich perimeter moves to whom and which two separate tax conclusions are needed?
Two tax files
One transfer passes two independent reviews.
An illustrative group perimeter.
- 01Operating business
- €11m
- 02Rental property
- €4mseparate analysis
- 03Investments and cash
- €3mevidence the function
- 04Two tax measures
- two conclusions
The family receives two evidenced perimeters and a conditions calendar, not one relief tick.
Figures are illustrative; both measures require separate confirmation.
The two tax measures address different questions and do not replace decisions about successor, control or finance.
The Business Succession Evidence File connects the transfer route to two professional conclusions.
The family transfers a defined perimeter, not an abstract holding company
A founder owns a group worth about €18 million: an operating trading business, property let to third parties, securities and a substantial cash reserve. A daughter already runs the business; two other children do not work in it. ‘Transfer the holding under BOR’ hides the central question: which part is an operating business and what should the daughter actually receive?
Investments, excess cash and rental property do not become ondernemingsvermogen — operating-business assets — merely because they sit in a holding company. The perimeter is reviewed by entity and material asset, with liabilities linked to the assets and activities they finance.
The two tax measures are reviewed separately
BOR may mitigate gift or inheritance tax when a qualifying operating business is transferred. DSR may, subject to its own conditions, roll over taxation on gains in an aanmerkelijk belang — substantial shareholding. They concern different taxes and require two professional conclusions.
Even where one measure appears available, value, transfer method, consideration or gift, finance, the founder’s reserve and fairness for the other children remain. Tax supports an understood route; it does not replace decisions about people, control and cash.
Ownership history matters as much as today’s chart
Collect acquisition dates, changes in percentages, reorganisations and asset movements. A clean current cap table does not show how the group arose or how long the specific interest and business were held.
The matrimonial-property position, estate route and successor’s actual role are reviewed separately. A recently acquired asset or reorganised business cannot be resolved by saying that the family has owned the group for many years.
Signing does not end the tax calendar
For transfers after 1 January 2025, the published BOR rules include a three-year continuation period. A sale, investor, reorganisation, partial cessation or other fact change therefore belongs in the calendar before it happens. DSR-related events are tracked under their own specialist conclusion.
The output is not one ‘relief available’ tick. It is a two-part file: BOR evidence and conclusion; DSR evidence and conclusion. Each retains the relevant-law date, reviewer, written conclusion and review triggers.
Public materials
For independent review
These sources help verify the public background to the question. They do not replace a fact-specific review.
Business continuity
Value, voting power and management do not have to move together.
Separate the three functions so the family knows who benefits economically, who makes ownership decisions and who runs the company.

Conclusion after the explanation
The bedrijfsopvolgingsregeling (BOR) concerns gift or inheritance tax on a qualifying operating business. The doorschuifregeling (DSR) concerns rollover of taxation on gains in a substantial shareholding. Each measure needs its own facts, conclusion and conditions calendar.
Signals
Review this if you recognise your situation
- all holding-company assets are treated as operating-business assets
- the two tax measures are described as one relief
- ownership and reorganisation history is missing
- no one owns the post-transfer conditions calendar
Next actions
What to do next
- 01define the route, recipient and transfer perimeter
- 02separate operations, investments, property, cash and related debt
- 03obtain two written conclusions and a post-transfer events calendar

Owner-director and business succession control
A Dutch owner-director (directeur-grootaandeelhouder) combines a substantial shareholding with daily management. The work begins with the successor, authority, family liquidity and the founder's reserve. The group is then opened up across assets, the holding chain, property, ownership periods and planned changes. Only after that map does a specialist separately confirm the Dutch gift-and-inheritance-tax business succession relief and the substantial-interest income-tax rollover.
