The document and the parties’ conduct must agree

A signed BV loan agreement is only the start

The signed agreement records the original decision. The tax and financial story is created by everything that happens after signature.

Start with the situation

The agreement promises annual repayment. The bank has seen no repayment for three years.

Anna signed a €300,000 agreement requiring €30,000 of principal to be repaid each year. The accountant capitalised interest, but no funds moved from her private account.

By year four, the document and the real history describe different loans. Repair starts with a reconciliation of the agreement, ledger and bank, not another template.

Main question

Can the evidence reconstruct the decision made by the BV and how the parties performed it?

Reconcile the story

Four sources should agree.

The signature is only one source.

01Agreement
€30,000 per year
02Bank
€0 repayments
03Ledger
interest capitalised
04Security
review
What the example shows

The mismatch becomes an open issue with an owner and a review date; it does not become an automatically repaired loan.

Amendments and tax effects require a fact-specific professional review.

Remember

The agreement starts the evidence. Payments, accounting and security show whether the arrangement existed in practice.

Where next

The Loan Health Check turns the annual reconciliation into a repeatable process.

01

The agreement belongs before the payment

The Dutch Tax Administration recommends recording the parties, principal, term and repayment, interest and its calculation, security and the consequences of default. The normal order is simple: decision and agreement first, movement of funds second.

A later agreement does not necessarily make the facts irreparable, but it weakens the evidence. The terms can look like an explanation invented after the transfer rather than a company decision made in advance.

02

Anna signed a schedule and ignored it for three years

Anna borrowed €300,000 from her BV. The agreement required annual interest payments and principal repayments of €30,000. The accountant capitalised the interest each year, but no cash moved from Anna’s private account. After three years the balance had grown although the agreement promised the opposite.

One new signature does not resolve this. The ledger and bank history must be reconstructed, the departure explained, repayment capacity reassessed and the future route agreed before the next reporting date.

03

Five parts of one evidence file

The first part is the lending decision and agreement. The second is the rate analysis using a comparable term, risk and security. The third evidences the value and ranking of security. The fourth reconciles the loan ledger and bank. The fifth records later changes: an extended term, new advances, lower income or reduced collateral value.

Where two parts conflict, the issue remains open. The agreement may require monthly interest while the ledger records an annual accrual; bank payments may have no reference; collateral may have fallen in value without a review.

04

What zakelijke voorwaarden means

The Dutch expression zakelijke voorwaarden means businesslike or arm’s-length terms. It is not one universally correct interest rate. An independent lender examines the term, schedule, debtor risk, security and repayment capacity together.

A high rate cannot always repair a loan that could never realistically be repaid. Conversely, a carefully performed arrangement with a clear purpose and evidenced risk has a stronger story than a perfect template with no payments behind it.

05

Annual review instead of repair before an audit

Once a year, reconcile the agreement, balance, interest, payments, security and financial position. If the terms need to change, record the reason and decision before changing the parties’ conduct.

The review also supports succession. A replacement director or the heirs can understand why the loan exists, what remains due and which money still belongs to the company.

Conclusion after the explanation

A reliable evidence file connects the agreement, rate analysis, security, ledger balance and actual payments into one consistent story.

Signals

Review this if you recognise your situation

  • the agreement was created after the funds moved
  • interest is accrued but not paid contrary to the terms
  • the agreement, ledger and bank show different balances
  • security was mentioned but never created or revalued

Next actions

What to do next

  1. 01reconcile the agreement, loan ledger and bank transactions for the full term
  2. 02add the rate analysis, security evidence and original repayment-capacity review
  3. 03record departures and agree the future route before changing the contract or advancing more funds

Owner-director and BV Loan Health Check

A short map of open questions: who owes whom, why the money moved, what was agreed, how the parties behaved and which review should happen next.

Owner-director and business succession control

A Dutch owner-director (directeur-grootaandeelhouder) combines a substantial shareholding with daily management. The work begins with the successor, authority, family liquidity and the founder's reserve. The group is then opened up across assets, the holding chain, property, ownership periods and planned changes. Only after that map does a specialist separately confirm the Dutch gift-and-inheritance-tax business succession relief and the substantial-interest income-tax rollover.
